ZULT IMPACT TERMS OF SERVICE


PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. THIS AFFECTS YOUR RIGHTS ABOUT HOW TO RESOLVE ANY DISPUTE WITH ZULT IMPACT.

Zult Impact, Inc. (“Zult Impact,” “we,” or “us”), a Delaware 501(c)(3) nonprofit corporation, operates this website (zult.org) and provides certain educational content, research, and services (collectively, the “Services”) related to blockchain technology, tokenization, and equitable access to capital.

Please read these Terms of Service carefully before using the Services. By accessing or using the Services, you expressly agree to be bound by these Terms of Service. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services following any changes means you accept and agree to the revised Terms.

1. ELIGIBILITY AND RESTRICTIONS

By using the Services, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Are not barred from using the Services under any applicable law
  • Will comply with these Terms and all applicable laws and regulations
  • Are not located in, under the control of, or a national or resident of any country subject to U.S. economic sanctions (including Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions)

If you do not meet all of these requirements, you must not access or use the Services.

2. PRIVACY

Your privacy is important to us. By using the Services, you consent to the collection and use of your information as disclosed in our Privacy Policy, which is incorporated into these Terms by reference.

3. DESCRIPTION OF SERVICES

Zult Impact provides educational content, research, and resources related to blockchain technology, tokenization, financial inclusion, and equitable access to capital. We may also offer grant programs and community engagement services.

IMPORTANT: Zult Impact is NOT acting as your financial advisor, legal counsel, investment advisor, tax advisor, or broker-dealer. The Services are provided for general informational and educational purposes only and do not constitute financial, legal, investment, or tax advice. You are solely responsible for consulting with appropriate professional advisors before making any financial or legal decisions.

4. BLOCKCHAIN NETWORKS AND DIGITAL ASSETS

4.1 No Control Over Blockchain Networks

The Services may provide information about or access to various blockchain networks. Zult Impact does not own, control, or operate any blockchain network. Blockchain networks are decentralized systems maintained by independent third parties. We do not and cannot guarantee the operation, uptime, security, or functioning of any blockchain network.

4.2 User Responsibility

You acknowledge and agree that any interaction with blockchain networks is made solely at your own risk. You are solely responsible for:

  • Securing your private keys, seed phrases, and wallet credentials
  • Verifying all transaction details before execution
  • Understanding the technical operation and risks of blockchain networks
  • Complying with all applicable laws regarding blockchain and digital assets
  • Bearing all costs, fees, and risks associated with blockchain transactions

4.3 No Custody

Zult Impact does not hold, store, control, or take custody of any user’s digital assets, private keys, or wallet credentials. You are solely responsible for the security and management of your digital assets.

4.4 Digital Asset Risks

You acknowledge and agree that:

  • Digital assets are highly volatile and speculative; their value may fluctuate significantly or result in total loss
  • Digital assets are not legal tender, are not backed by any government, and are not insured by the FDIC or SIPC
  • The regulatory status of digital assets is evolving and uncertain
  • Blockchain transactions are generally irreversible
  • Technology risks include software bugs, hacking, network failures, and smart contract vulnerabilities

4.5 Prohibited Activities

You agree not to use the Services in connection with any blockchain network to:

  • Violate any federal, state, local, or international law or regulation
  • Fund terrorism, criminal activity, or any illegal enterprise
  • Circumvent export restrictions or economic sanctions
  • Engage in money laundering, unlawful money transmission, or currency exchanging
  • Facilitate fraud, market manipulation, or deceptive practices

5. PROHIBITED USES

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable law or regulation
  • Exploit, harm, or attempt to exploit or harm minors in any way
  • Transmit any advertising, promotional material, “junk mail,” “spam,” or similar solicitations without our prior written consent
  • Impersonate Zult Impact, our employees, or any other person or entity
  • Use any robot, spider, or automated means to access the Services without our express permission
  • Introduce viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services

6. INTELLECTUAL PROPERTY

6.1 Ownership

The Services, including all content, features, and functionality, are owned by Zult Impact, its licensors, or other content providers and are protected by copyright, trademark, and other intellectual property laws.

6.2 License

Unless otherwise indicated, all non-code content on the Services is licensed under the Creative Commons Attribution 4.0 International License (CC BY 4.0). All software and computer code is licensed under the MIT License or Apache License 2.0. You may use this content in accordance with these licenses, provided you give appropriate credit to Zult Impact.

6.3 Trademarks

“Zult Impact,” “Zult,” and related logos are trademarks of Zult Impact. You may not use these marks without our prior written permission.

7. USER CONTENT

The Services may allow you to submit content. By submitting content, you grant Zult Impact a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, distribute, display, and create derivative works from your content. You represent that you own or have the necessary rights to submit such content and that it does not infringe upon any third-party rights.

8. THIRD-PARTY LINKS

The Services may contain links to third-party websites and resources. Zult Impact does not endorse or assume responsibility for any third-party sites or resources. We make no representations or warranties regarding the accuracy, security, or legality of third-party content. You access third-party sites entirely at your own risk.

9. SERVICE MODIFICATIONS

We reserve the right to withdraw, modify, or discontinue the Services (or any part thereof) at any time, with or without notice. You acknowledge that Zult Impact will not be liable for any modification, suspension, or discontinuation of the Services. The Services may be inaccessible or inoperable due to equipment malfunctions, maintenance, internet failures, or causes beyond our control.

10. DISCLAIMERS

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZULT IMPACT SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Any warranty that the Services will be uninterrupted, timely, secure, or error-free
  • Any warranty regarding the accuracy, completeness, or reliability of content
  • Any warranty that the Services are free from viruses or other harmful components

Zult Impact makes no representations or warranties regarding the legality of the Services for any particular use case or compliance with any specific legal or regulatory requirements. You are solely responsible for determining and complying with all applicable laws and regulations.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in their entirety, but will apply to the maximum extent permitted by law.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZULT IMPACT, ITS DIRECTORS, OFFICERS, EMPLOYEES, ADVISORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Services
  • Any content obtained through the Services
  • Unauthorized access to your data or transmissions
  • Interaction with blockchain networks or digital assets
  • Loss, theft, or compromise of private keys or digital assets
  • Technical failures, security breaches, or network issues

THE TOTAL AGGREGATE LIABILITY OF ZULT IMPACT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO ZULT IMPACT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

IF YOU ARE DISSATISFIED WITH THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Zult Impact and its directors, officers, employees, advisors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your User Content
  • Your interaction with blockchain networks or digital assets

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact Zult Impact at legal@zult.org and attempt to resolve the dispute informally for at least sixty (60) days.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

If informal resolution fails, you and Zult Impact agree that any claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO HAVE YOUR DISPUTE HEARD IN COURT.

The arbitration will take place in San Francisco, California (or in your location of residence if you are a U.S. resident). Each party will be responsible for paying any AAA filing and arbitrator fees in accordance with AAA Rules, except that Zult Impact will pay your arbitration fees for claims under $10,000 unless the arbitrator finds the claims frivolous.

Either party may seek injunctive or equitable relief in court to prevent infringement or violation of intellectual property rights.

13.3 Class Action Waiver

YOU AND ZULT IMPACT AGREE THAT CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, the entire arbitration provision shall be null and void.

13.4 Opt-Out Right

You have the right to opt out of this arbitration provision by sending written notice within thirty (30) days of your first use of the Services to: Zult Impact, [Physical Address], legal@zult.org. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles. To the extent arbitration does not apply, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in San Francisco, California, and you irrevocably consent to the jurisdiction and venue of such courts.

15. EXPORT CONTROLS AND SANCTIONS

You acknowledge that the Services may be subject to U.S. export control laws and regulations. You represent that you are not located in, under the control of, or a national of any country subject to U.S. sanctions, and that you are not identified on any U.S. government list of prohibited parties, including the Treasury Department’s Specially Designated Nationals List.

Access to and use of the Services is prohibited from countries subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).

16. ANTI-MONEY LAUNDERING

Zult Impact is committed to preventing money laundering and terrorist financing. Depending on your use of the Services, we may require you to provide identification documents and other information to verify your identity. We reserve the right to report suspicious activity to appropriate authorities and to refuse service if we are unable to verify identity or have concerns about potential illicit activity.

17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zult Impact regarding the Services and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the extent necessary to make it enforceable, or if that is not possible, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

No waiver of any term or condition of these Terms shall constitute a waiver of any other term or condition. Any failure by Zult Impact to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Zult Impact may assign its rights and obligations under these Terms at any time without notice.

17.5 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any person other than you and Zult Impact.

17.6 Electronic Communications

By using the Services, you consent to receiving electronic communications from Zult Impact. These communications may include notices about the Services and changes to these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

17.7 Survival

Sections 4 (Blockchain Networks and Digital Assets), 6 (Intellectual Property), 7 (User Content), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), 14 (Governing Law), and 17 (General Provisions) shall survive termination of these Terms.

18. ADDITIONAL TERMS FOR SPECIFIC SERVICES

Participation in Zult Impact grant programs, partnerships, events, or other specific programs may be subject to additional terms and conditions, which will be provided to participants and are incorporated into these Terms by reference.

20. ACKNOWLEDGMENT

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

You acknowledge that:

  • The Services do not provide investment, financial, legal, or tax advice
  • Blockchain technology and digital assets involve significant risks
  • Zult Impact does not hold or control your digital assets
  • You are solely responsible for your use of the Services and compliance with applicable laws
  • You have agreed to resolve disputes through binding arbitration and have waived your right to participate in class actions
